NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO PARTICIPATE OR BE SELECTED. SELECTIONS ARE MADE EXCLUSIVELY ON CREATIVE AND STORYTELLING MERIT BY A CURATOR COMMITTEE — NO ELEMENT OF CHANCE IS INVOLVED.
LEGAL CLASSIFICATION NOTICE: This program is a Creative & Storytelling Accelerator with merit-based Curator Selection. It is NOT a lottery, sweepstakes, game of chance, or gambling activity. All selections are determined exclusively by an Evaluation Committee based on artistic merit, storytelling quality, and technical excellence — not by random chance. Pursuant to Romanian Government Emergency Ordinance 77/2009 (GEO 77/2009), this program does not meet the cumulative legal definition of gambling as it contains no element of chance in the selection process. This accelerator is a cultural promotion program governed by OG 99/2000 and Romanian Civil Code provisions for skill-based creative programs.
1. THE PARTIES
1.1. The Technical Co-Producer ("The Organizer"): VeyoLabs and its operating entity CIBEEO INC S.R.L. (hereinafter "Sponsor" or "Organizer").
1.2. The Creative Co-Producer ("The Creator"): Any individual (natural person) or legal entity (SRL, PFA, LLC) that registers an account on the VeyoLabs Platform and submits a project to the Accelerator. By checking the acceptance box, the Creator warrants they are at least 18 years of age (or the age of majority in their jurisdiction) and have the full legal capacity to enter into binding contracts.
1.3. "Third-Party Providers" (The Engine): Refers to the third-party entities, cloud providers, and technology sponsors contracted by the Organizer to provide the underlying AI video models, API infrastructure, and high-performance computing resources utilized during the Accelerator program.
1.4. "Technology Stack": Refers to the proprietary AI models, software, APIs, SDKs, and computing credits provided by Third-Party Providers and accessed via the VeyoLabs Platform.
2. ELIGIBILITY
2.1. Residency & Restrictions: Open to residents of any location where the Accelerator is not prohibited by law. Void in jurisdictions subject to strict trade sanctions (e.g., North Korea, Iran, Russia, Syria) or where local law prohibits this specific type of cultural promotion program.
2.2. Excluded Individuals: Employees, officers, and directors of the Organizer, its subsidiaries, and their immediate family members (spouses, parents, children, siblings) are not eligible to participate or be selected.
2.3. Teams and Captains: The Accelerator is open to teams. If entering as a Team, one individual must be appointed as the "Team Captain." The Captain represents and warrants that they are the authorized representative for the Team.
- Award Allocation: If a Team is selected, the award is allocated solely to the Captain. The Organizer is not responsible for the distribution of the award among Team members.
- Dispute Resolution: Any dispute between Team members regarding credit or awards is the sole responsibility of the Team.
3. NATURE OF THE AGREEMENT: CO-PRODUCTION
3.1. Investment in Kind: The Parties acknowledge that this is not a standard contest, but a Co-Production Agreement.
- (a) Creative Capital: Provided by the Creator (Script, Direction, Acting, Editing).
- (b) Technical Capital: Provided by the Organizer (High-Performance Computing Power, GPU Cloud Rendering, and Software Licenses).
3.2. Legal Effect: This agreement serves as a formal Co-Production Contract pursuant to Law no. 8/1996 on Copyright and Related Rights. The Organizer provides the Technical Budget in exchange for the rights detailed in Section 7.
4. THE "STAGE-GATE" PRODUCTION WORKFLOW
The Competition operates on a "Production-First" model.
- Phase I: Concept Submission. Proposal submission. No credits awarded.
- Phase II: Initial Tech Allocation (Stage 1 Credits). Selected projects receive limited credits strictly for producing the first 30% of the project (Proof of Concept).
- Phase III: The Greenlight Review. If approved by the Judges, the Creator receives Stage 2 Credits (Full Production Budget). If rejected, the co-production ceases.
- Phase IV: Final Delivery. The project is completed and submitted as a "Final Work of Art."
Note: The Organizer determines compliance with each phase in its sole discretion. Submission materials cannot be edited after the deadline.
5. RESOURCE DEFINITION & STRICT PROHIBITIONS
5.1. Computing Credits & License: "Credits" represent a limited, non-exclusive, non-transferable revocable license to utilize the Organizer's and its Partners' infrastructure. Credits have NO monetary cash value.
5.2. Technology Usage & Strict Prohibitions: Access to the Platform and Technology Stack is granted solely for the creation of Accelerator content. By participating, the Creator expressly agrees to the following negative covenants:
- (a) No Reverse Engineering: You shall not attempt to reverse-engineer, decompile, disassemble, derive source code, or analyze the underlying algorithms of the Technology Stack or APIs provided.
- (b) No Model Training: You are strictly prohibited from using the output (video/images) generated during this Accelerator to train, fine-tune, or improve any third-party artificial intelligence or machine learning models.
- (c) Acceptable Use: You shall not use the Technology Stack for any illegal, infringing, or prohibited purposes as defined by the Organizer's or its Partners' Acceptable Use Policies.
- (d) Monitoring: The Organizer reserves the right to share usage logs with Third-Party Providers to ensure compliance. Violation of this clause will result in immediate disqualification and potential legal action for breach of proprietary rights.
6. SUBMISSION GUIDELINES & WARRANTIES
6.1. Originality & Rights: You (or your Team) are the sole legal owner of the Content. The Submission does not infringe upon the copyrights, trademarks, rights of privacy, publicity, or other intellectual property rights of any person or entity.
6.2. Mandatory Human Element: For feature film categories, the Creator must include real human actors ("Human Anchors") alongside AI-generated visuals. Purely synthetic films without human performance (where required by category) will be disqualified.
6.3. Zero Tolerance on Digital Replicas:
- Consent Required: You strictly warrant that you have obtained Written Signed Approval (Model Release Forms) for every real person whose face, voice, or likeness appears in the Content, whether filmed traditionally or generated/altered via AI.
- Deepfakes: The use of AI to replicate the likeness of any third party (celebrities, politicians, private citizens) without explicit written commercial license is strictly prohibited.
6.4. Prohibited Content: Submissions must not contain material that is: sexually explicit, pornographic, violent (in a manner violating law), hateful, defamatory, or promotes discrimination based on race, gender, religion, or sexual orientation.
6.5. Chain of Title: The Organizer reserves the right to demand copies of Rights Clearances (Model Releases, Music Licenses) at any time. Failure to produce them within 24 hours will result in immediate disqualification.
6.6. Third-Party Takedown Compliance: The Creator acknowledges that Third-Party Providers retain the right to request the removal of any Content generated using their models that they reasonably consider illegal, infringing, harmful, or legally objectionable. Upon receipt of such notice from the Organizer, the Creator agrees to immediately cease the use and distribution of the specific contested content.
7. INTELLECTUAL PROPERTY & CO-OWNERSHIP (THE "80/20 SPLIT")
In consideration of the Technical Capital provided, the Parties agree:
7.1. Ownership Distribution:
- 80% Ownership: Retained by the Creator (Primary Author).
- 20% Ownership: Assigned to CIBEEO INC S.R.L. (Technical Co-Producer).
7.2. Commercial Rights: Any future commercial revenue generated by the film (e.g., licensing to Netflix, TV broadcast, theatrical release) shall be distributed 80% to the Creator and 20% to the Organizer.
7.3. Extended Promotional License & Case Studies: Regardless of the ownership split, the Creator grants the Organizer and its Third-Party Providers a worldwide, irrevocable, royalty-free, perpetual, non-exclusive license to:
- (a) Screen, broadcast, and distribute the Submission (in whole or in part) at the Accelerator, partner events, and digital channels;
- (b) Use the Submission for marketing, technical case studies, and demonstrations of the AI models capabilities (e.g., labeled as "Powered by VeyoLabs Partners");
- (c) Use the Creator's name, likeness, and biographical information in connection with such marketing.
7.4. Waiver of Moral Rights: To the fullest extent permitted by law, the Creator waives any "moral rights" that would prevent the Organizer from editing the film for promotional formats (e.g., creating a trailer or social media clip).
8. INDEMNIFICATION & LIABILITY
8.1. Indemnity: By participating, you (and your Team) agree to indemnify, defend, and hold harmless the Organizer (CIBEEO INC S.R.L.) from and against any and all claims, damages, liabilities, costs, and expenses (including legal fees) arising from:
- Any breach of these Terms by you;
- Any claim that your Submission infringes on the Intellectual Property or Privacy rights of a third party;
- Your use of the Technical Credits.
8.2. Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY LAW, THE ORGANIZER SHALL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES. YOUR SOLE REMEDY FOR ANY CLAIM RELATING TO THE ACCELERATOR IS LIMITED TO YOUR ACTUAL OUT-OF-POCKET COSTS OF ENTERING (IF ANY).
8.3. Partner Disclaimer: The Creator acknowledges that Third-Party Providers provide technical infrastructure only. These Partners do not exercise creative control over, and assume no responsibility for, the specific narratives, scripts, or messages contained in the Participant Content. The provision of technology credits by a Partner does not constitute their endorsement of the specific viewpoints expressed in the Films.
9. AWARDS, RECOGNITION & TAXES
9.1. Official Award Pool & Categories
Awards are allocated based on the specific Categories defined below. "Cash" refers to USD (or local currency equivalent) and "Credits" refers to computing allocation units provided by the Organizer and its Partners. Awards are curator-selected recognition grants for creative excellence, not prizes of chance.

Note: Finalists ranked 4th through 10th shall receive Studio Access and $500 USD worth of Production Credits.
9.2. Tax Obligations (Romanian Fiscal Code)
- Gross Amounts: All cash awards are expressed as Gross Amounts (Brut).
- B2B (Companies): If the Selected Creator is a legal entity, the Organizer transfers the Gross amount upon receipt of a valid invoice. The Selected Creator is responsible for all taxes.
- B2C (Individuals): Pursuant to Romanian Law, the Organizer may be required to withhold tax at source (currently 10% for awards exceeding 600 RON) and remit it to ANAF. The Selected Creator will receive the Net amount.
9.3. Substitution: No cash substitution is permitted for the "Tech Budget" portion of the award.
10. CURATOR SELECTION PROCESS
10.1. Criteria: Selected Creators are determined exclusively by the Organizer's Curator Evaluation Committee based on merit: Storytelling Quality, Visual Aesthetics, Technical Fidelity, and Creative Use of AI. No element of chance, lottery, or random selection is used at any stage. This is a skill-based curator selection process.
10.2. Finality: The decisions of the Curator Committee are final and binding in all respects. The Committee's evaluations will not be shared with the public.
10.3. No "Work for Hire" Claim: Creators whose projects are not Greenlit (Phase III) or are not selected (Phase IV) acknowledge that the Computing Credits provided during Phase II constitute full and final consideration for their efforts. You waive any claim to "unpaid wages" or "loss of chance."
11. GENERAL CONDITIONS
11.1. Force Majeure: If the Accelerator is prevented from continuing due to events beyond the Organizer's control (e.g., pandemic, government order, technical failure of the AI models), the Organizer reserves the right to modify, suspend, or cancel the Accelerator without liability.
11.2. Waiver of Injunctive Relief: You agree that your rights and remedies are limited to the recovery of money damages (if proven). You shall not be entitled to enjoin or restrain the distribution, exhibition, or advertising of the Accelerator or the Submission.
11.3. Data Processing & Third-Party Sharing (GDPR Consent): By entering this Agreement, the Creator explicitly consents to the processing of their personal data (Name, Email, Account ID) by the Organizer and the transfer of such data to Third-Party Providers and Cloud Infrastructure Providers (including those located outside the EEA, such as Singapore or the US).
Purpose of Transfer: This data sharing is strictly necessary for:
- (a) Allocating the specific Computing Credits to your account;
- (b) Validating technical compliance and preventing fraud;
- (c) Joint marketing communications regarding future technology opportunities.
11.4. Governing Law & Jurisdiction: These Rules are governed by the laws of Romania. Any dispute arising out of or connected with this Accelerator shall be subject to the exclusive jurisdiction of the competent courts in Bucharest, Romania.
